Terms and Desktop Licence

These terms govern access to Skyflo services, the licence to install and use Skyflo Desktop, and the paid plans that include Skyflo-funded managed inference. Please read them before subscribing or using the software.

1. Who you are contracting with, and eligibility

Skyflo is provided and operated by Operantix Systems Private Limited (CIN U62010PN2026PTC252795), a private limited company incorporated in India with its registered office at Office No. 01, 1st Floor, Future One, S. No. 245/5/1, D.P. Road, Aundh, Pune, Maharashtra 411007, India, trading as Skyflo (“Skyflo”, “we”, or “us”). Operantix is your counterparty for the Services under these Terms.

These Terms and Desktop Licence (the “Terms”) cover the Skyflo websites, accounts, hosted services, the managed inference described in section 8, and the Skyflo Desktop software (together, the “Services”).

Payments are handled by a separate company. Paid subscriptions are sold through Dodo Payments as merchant of record. That means Dodo is the seller of record for the transaction, invoices you, collects the payment, handles the applicable taxes, and presents its own buyer terms at checkout. Operantix provides and operates the Services you are buying access to. Questions about an invoice, a payment method, or a tax document go to Dodo through the billing portal; questions about the Services, your plan, or your account go to us.

By accepting these Terms or using the Services, you agree to them. If you use the Services for an organisation, you represent that you have authority to bind that organisation, and “you” includes it. You must be at least 18 years old or the age of legal majority where you live and able to enter a binding agreement.

2. Accounts and security

You must provide accurate account information, keep credentials and linked devices secure, and promptly tell us at contact (at) skyflo.ai if you suspect unauthorised access. You are responsible for activity performed through your account except to the extent caused by our breach of these Terms or applicable law.

Some actions are sensitive enough that we will ask you to reverify your identity immediately before performing them, including starting a checkout, opening the billing portal, cancelling or changing a subscription, requesting a refund, changing multi-factor settings or your primary email address, revoking a session or device, and deleting your account. We may decline an action where reverification fails.

You may not share an individual account in a way that bypasses plan, seat, or usage limits. Organisation administrators may manage access for their authorised users.

3. Skyflo Desktop licence

Subject to these Terms and any applicable order, Skyflo grants you a limited, personal or internal-business, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the object-code version of Skyflo Desktop on devices you own or control.

The software is licensed, not sold. Except where applicable law does not permit the restriction, you may not:

  • copy or distribute Skyflo Desktop beyond reasonable backup copies and authorised installations;
  • reverse engineer, decompile, or attempt to derive its source code;
  • rent, lease, resell, sublicense, or provide the Services as a standalone service to another person;
  • remove proprietary notices or circumvent technical, security, entitlement, or usage controls;
  • use the Services to obtain managed inference for resale, or to route another product’s traffic through your allowance; or
  • use Skyflo intellectual property to build or train a competing product without our written permission.

Open-source components included with the software remain governed by their respective licences. Those licences control if they conflict with this section for the relevant component.

4. Acceptable use

You may use the Services only lawfully and in accordance with documentation and plan limits. You must not use them to:

  • access systems, repositories, credentials, or data without permission;
  • create, distribute, or operate malware, destructive code, phishing, fraud, or abusive automation;
  • interfere with the Services, probe for vulnerabilities without written authorisation, or evade safety, approval, entitlement, or metering controls;
  • infringe privacy, confidentiality, intellectual-property, or other rights; or
  • violate sanctions, export controls, or other applicable law.

You are responsible for confirming that every repository, system, credential, and third-party service connected to Skyflo is within your authority to use. When you use managed inference, the acceptable-use policy of the model provider we route to also applies to what you submit, and we may act on a provider’s determination that a request breached it.

5. Your code, instructions, and other materials

You retain ownership of code, prompts, files, repository content, credentials, and other materials you provide or make available to the Services (“Your Materials”). You grant Skyflo only the limited rights needed to host, copy, transmit, and process Your Materials to provide, secure, support, and maintain the Services, and to transmit them to a model provider where you have chosen a mode that does so.

You represent that you have the rights and permissions needed for Your Materials and for the instructions you ask the Services to perform. This matters most in managed mode: submitting a repository, a file, or a customer’s data to a Skyflo-funded model means asserting that you are entitled to send that content to us and onward to our model provider.

Do not provide regulated, highly sensitive, or restricted data unless the applicable service documentation and your agreement with Skyflo expressly permit it. The Services are not designed or offered for protected health information, cardholder data, or comparable regulated categories.

6. Confidentiality and how we use your content

We treat Your Materials as confidential. We use them only to provide, secure, support, and maintain the Services for you, to comply with law, and to enforce these Terms. We do not sell them, we do not use them for advertising, and we do not use them to train or fine-tune generalised artificial-intelligence or machine-learning models.

Access inside Skyflo is limited to personnel who need it for the purposes above and is subject to confidentiality obligations. Where a model provider processes content on our instruction in managed mode, that provider’s handling is described in the Privacy Notice and in the managed content disclosure you accept before enabling managed mode.

Each party may disclose confidential information where required by law or legal process, and will, where legally permitted, give the other reasonable notice so it can seek protection.

7. Three ways a model can be run, and how they differ

Skyflo can reach a language model in three different ways. They differ in who pays, whose infrastructure the request crosses, and who your counterparty is for the model itself. The choice is yours, and it is worth understanding.

7.1 Local execution

Agents run on the Mac you have linked to your account. Missions, plans, repository content, files, terminal output, and results are held on that machine. Where a mission does not call a remote model, no mission content leaves your machine because of Skyflo.

7.2 Bring your own key

You supply an API key or credential for a model provider you have your own relationship with. Skyflo Desktop uses it to call that provider directly from your machine. Your key is held in your operating system’s keychain on that machine and is not transmitted to Skyflo’s servers.

In this mode the provider is your counterparty, not our subprocessor. Their terms, privacy practices, pricing, rate limits, data-retention settings, and availability apply to that request, and you are responsible for the account, its charges, and its configuration. Skyflo is not in the path of the request and does not receive its content.

7.3 Skyflo-funded managed inference

Skyflo selects, contracts with, and pays the model provider. The request leaves your machine, crosses Skyflo-operated infrastructure, and is sent by us to that provider on your instruction. Nothing in this mode happens by default: it is off until you read the managed content disclosure and record an affirmative choice, your plan includes managed capacity, and we have managed inference switched on.

The categories of content that may be transmitted, the operational records we keep, and the provider we currently use are set out in the Privacy Notice and the managed content disclosure. Section 8 covers the commercial terms.

These model modes describe how model requests are sent. A local tool, browser or connected service can separately send content to a system you authorise, even when no remote model is used; that system's terms and processing apply.

8. Managed inference

8.1 What a paid plan includes

A paid plan includes a monthly managed allowance, expressed at checkout, together with the models that plan is eligible for. The allowance is a capacity to consume model work during a monthly window, not a prepayment for a fixed number of tokens, words, requests, or minutes. How much work fits inside it depends on which model runs, how long your requests and their results are, and the provider prices in effect.

Allowance does not roll over. Unused capacity expires at the end of each monthly window and cannot be transferred, sold, or borrowed against a future window. It is not a cash balance and has no separate redemption value. This does not reduce any refund or remedy required by the Refund Policy or applicable law. The initial paid offering is monthly; annual subscriptions require a separately approved offering and its applicable terms.

The commercial terms that applied when you paid stay fixed for the funded period. A change to plan pricing or included allowance can take effect only at your next renewal. Provider prices are outside our control and may change during a funded period; a provider price change alters how much model work fits inside your allowance, and does not change the allowance we sold you.

8.2 Routing, availability, and limits

Managed inference is a shared, capacity-constrained service. We apply per-request, per-mission, hourly, and concurrency limits, together with input and output size limits and reasoning settings, per plan. Before a managed request runs we reserve capacity against your allowance and against the provider capacity available to us; a request that cannot be admitted is refused with a reason rather than run in a reduced form.

Where you allow Skyflo to choose the model, we may route between the models your plan is eligible for, including moving a request to a different eligible model when the first choice has no capacity. Where you pin a specific model, we do not substitute it: a request that will not fit is refused. We may add, change, retire, or temporarily suspend individual models, and we do not guarantee that any particular model, version, latency, throughput, or output quality will be available.

We may suspend managed inference for your account, immediately and without prior notice where the circumstances require it, if payment fails or is reversed, if a refund or payment dispute is pending or upheld, if usage indicates abuse or a security or legal risk, if a provider suspends or limits our access, or if repeated ambiguous outcomes on your account place it under reconciliation review pending our check. We also operate service-wide controls that can pause managed inference for everyone, which we may use to protect the integrity of the service, our provider relationships, or your data.

When your allowance is exhausted or managed inference is unavailable for any reason, local execution and bring-your-own-key execution remain available on the same plan, and no additional charge is applied without a further purchase you make. Paid plans in this version include no overage, no top-up, and no automatic purchase of further capacity.

8.3 What you are charged for

Managed usage reduces the allowance included in your paid plan. It is settled using evidenced provider usage and the price revision applicable to the attempt. There is no separate usage-based charge, overage, or automatic top-up under this offering.

A request that fails before reaching the provider does not consume allowance. Work performed by the provider may consume allowance even if you stop the request, lose the connection, or do not receive a satisfactory result. Repeating transport or settlement for the same attempt does not justify charging it twice. A new model call or a fresh request you submit can consume additional allowance.

If usage cannot be established, we do not settle a charge to your allowance without recovered evidence. Capacity can remain reserved while the outcome is reconciled and is released or settled under that process. We correct erroneous deductions and preserve the refund and statutory remedies described in the Refund Policy. Token-count control traffic do not reduce customer managed allowance.

9. Generated output

As between you and Skyflo, and to the extent permitted by law and by the terms of the model provider involved, you own the output the Services generate for you from Your Materials (“Output”), and Skyflo claims no ownership of it. You are responsible for the Output you keep, deploy, or distribute.

Three limits are worth stating plainly, because they follow from how these models work rather than from our policy.

  • Output is not unique. Similar or identical output can be generated for other users from similar inputs, and neither we nor you can claim exclusivity in it on that basis.
  • Output may resemble existing material. It may reproduce or resemble code, text, or other material subject to a third party’s rights or an open-source licence. We do not warrant that Output is original or free of third-party rights, and reviewing it for that is your responsibility.
  • Our ownership of the platform is unaffected. Section 14 is unchanged by this section. Output is the result the model produced for you; the Services, models, prompts, harness, and software that produced it are not.

We may use aggregated, de-identified operational statistics that do not contain Your Materials or Output to run, secure, and improve the Services.

10. AI-generated results and automated actions

AI-generated suggestions, code, plans, summaries, and other results can be incomplete, inaccurate, insecure, or unsuitable. You must review and test results before relying on or deploying them. Approval prompts and verification features reduce risk but do not replace your judgement or responsibility for changes made to your systems.

Do not use the Services as the sole basis for decisions where an error could cause death, personal injury, material property damage, or the denial of a person’s legal rights. The Services do not provide legal, medical, or financial advice.

11. Connected systems and infrastructure automation

Skyflo can be connected to source-control systems, cloud accounts, clusters, terminals, browsers, and other tools, and can be asked to make real changes to them. This section is about that capability, because it is the one where a mistake is expensive.

You are responsible for every credential, token, role, and connection you make available to the Services, and for every change made through them, including changes an agent proposes and you approve. You confirm that you are authorised to connect each system and to make the changes you ask for.

You agree to:

  • grant the narrowest permissions that let the work happen, and prefer scoped, short-lived, and revocable credentials over broad or permanent ones;
  • keep approval controls switched on for actions that change real infrastructure, and review what is proposed before approving it;
  • maintain your own backups, snapshots, version history, and rollback path for anything you connect, independently of Skyflo;
  • test in a non-production environment before running an agent against production where the change would be hard to reverse; and
  • revoke access promptly when it is no longer needed, and after any suspected compromise.

Skyflo provides approval, scoping, evidence, and audit features and will operate them as documented, but we do not assume responsibility for the state of your systems. To the maximum extent permitted by law, Skyflo is not liable for loss, corruption, downtime, cost, or unintended change to any system you connect, or to data held in it, arising from an action you or your authorised users instructed or approved.

12. Plans, subscriptions, and billing

Free and paid plans may have different usage, concurrency, model, retention, support, and feature limits. The plan, price, currency, billing interval, taxes, and included managed allowance shown at checkout form part of your order, and we record the versions of these Terms and the other published documents that governed your purchase.

Paid subscriptions are sold and processed by Dodo Payments as merchant of record, as described in section 1. Your payment transaction is also subject to the buyer terms Dodo presents at checkout. You authorise recurring charges at the disclosed interval until cancellation. Payment credentials are entered with Dodo and are never received or stored by Skyflo.

Access begins when we have confirmation from the payment provider that the payment succeeded, not when a browser returns from checkout. If a payment succeeds after our capacity hold for it has expired and we cannot allocate capacity for it, we will cancel the subscription and refund that payment in full rather than leave it collected without access.

If a payment fails, the provider may retry it over a limited recovery period. Managed access may be paused while the payment funding it is unresolved. If a later charge for an unsupported change to your invitation plan fails, you keep access still covered by your earlier payment. The Refund Policy governs any separate refund and its effect on funded access.

Plan changes are not available in this version. The option is hidden and the endpoints are disabled. To move between plans, cancel and subscribe again once the current period ends.

13. Cancellation and refunds

Cancellation, refunds, statutory withdrawal, payment disputes, and the billing effects of account deletion are governed by the Refund Policy version recorded for your purchase, including its ordinary cancellation process, mandatory remedies, and legal-revocation procedure. For these subjects, that policy takes priority over conflicting language in these Terms. Mandatory law takes priority over both. Dodo's separate buyer terms continue to govern the payment transaction.

Ordinary cancellation stops renewal and preserves otherwise-valid paid access to the displayed paid-through date. Turning managed content off is a privacy choice and does not itself cancel renewal. Account deletion offers immediate deletion or deletion at paid-through end; the displayed ordinary-refund estimate does not decide a statutory or exceptional claim. Cancellation, refund, or deletion does not erase locally held work or by itself end permitted local, BYOK, or supported subscription-backed use on an already activated Mac.

14. Skyflo ownership and feedback

Skyflo and its licensors own the Services, software, documentation, designs, trademarks, and related intellectual property, excluding Your Materials, Output, and third-party components. No rights are granted except those expressly stated in these Terms.

If you choose to provide feedback, you allow Skyflo to use it without restriction or payment, provided we do not identify you publicly as its source without permission.

15. Availability, updates, and service changes

We may provide updates, patches, previews, and new versions. Some updates may be required for security, compatibility, or continued access to hosted features. We may modify or discontinue features, but will use reasonable efforts to give advance notice when a material change adversely affects a paid plan.

We do not commit to an uptime level in these Terms. No service-level agreement or service credit applies unless it is stated in a separate order form signed by both parties.

Preview, beta, staging, and test-mode features may be incomplete, change without notice, and must not be used for production workloads or real payments unless we expressly say otherwise.

16. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Skyflo disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

We do not warrant that generated results will be accurate, secure, unique, or free of third-party rights, that any model or capacity will be available at a given moment, or that the Services will find every defect or prevent every harmful action. These disclaimers do not exclude warranties or rights that cannot legally be excluded.

17. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for lost profits, revenue, goodwill, business opportunities, or data, arising from these Terms or the Services.

Skyflo’s aggregate liability arising from these Terms or the Services will not exceed the greater of US$100 and the amount you paid for the Services during the 12 months before the event giving rise to the claim.

These limits do not apply where prohibited by law, or to liability that cannot legally be limited. Mandatory consumer protections remain unaffected. The limits are cumulative across all claims, so multiple claims do not enlarge the cap, and they apply regardless of the form of action and even if a limited remedy fails of its essential purpose.

The liability limits and disclaimers do not reduce a full refund or other payment reimbursement expressly owed under the Refund Policy.

18. Suspension and termination

You may stop using the Services at any time and may cancel a subscription as described above. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or if required by law. Where practical, we will give notice and a reasonable opportunity to cure. Section 8.2 describes the narrower suspensions that apply to managed inference alone.

Ending a paid subscription, refunding a payment, signing out, revoking an account session, or deleting a Skyflo account does not by itself terminate the Desktop licence for permitted local, BYOK, or supported subscription-backed use on an already activated Mac. Account-backed cloud capabilities require current account authority. If we separately terminate the Desktop licence for a material breach or another lawful reason under these Terms, you must stop using and delete Skyflo Desktop, except where applicable law or an open-source licence permits continued use. Sections 5, 6, 9, 11, 14, 16, 17, 20, and 21, and accrued obligations, survive termination.

19. Changes to these Terms

We will not edit this published version in place. If we change these Terms, we will publish a new version with a new effective date and URL. We will provide notice and request a new acceptance when required by law or when a material change applies to your continued use.

A newly published version does not silently replace the documents governing an existing purchase or checkout in progress. If we exceptionally revoke a version required for purchase activation, the Refund Policy's 48-hour replacement-acceptance and full-refund procedure applies. A change to the managed-content disclosure separately requires a new affirmative choice before further managed processing; it is not automatic acceptance of new commercial terms.

20. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws rules, and the courts at Pune, Maharashtra, India have exclusive jurisdiction over any dispute arising out of or relating to them.

This is subject to two things, and both matter. First, if you are a consumer, nothing here deprives you of the protection of mandatory provisions of the law of the country where you live, or of your right to bring proceedings in the courts of that country where that right cannot be excluded. Second, if you have signed an order form or other written agreement with Skyflo that states a governing law, jurisdiction, or dispute-resolution process, that agreement controls for the matters it covers.

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

21. General

Entire agreement and precedence. These Terms, the documents they link to, and the order details shown at checkout are the entire agreement between us for the Services, and replace earlier understandings on the same subject. An order form or other written agreement signed by you and Skyflo controls over these Terms to the extent of a conflict. A purchase order, vendor form, or other document you issue has no effect on these Terms even if we accept it for administrative purposes. The Refund Policy controls cancellation and refund matters as stated in section 13. No contractual precedence provision excludes a mandatory consumer right or a refund we have expressly committed to provide.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of nature, war, civil unrest, epidemic, labour action, government action, failure of telecommunications or internet infrastructure, and the failure or suspension of a third-party provider. This does not excuse an obligation to pay amounts already due.

Notices. We may give you notice by email to the address on your account or by posting it in the account console; either is effective when sent or posted. Legal notices to Skyflo go to contact (at) skyflo.ai, and, where the law requires a physical address, to our registered office at Office No. 01, 1st Floor, Future One, S. No. 245/5/1, D.P. Road, Aundh, Pune, Maharashtra 411007, India. This ordinary notice rule does not start the exceptional legal-revocation deadline. That deadline requires verified recipient-mailbox or destination-mail-server delivery of the exact replacement notice under the Refund Policy; unconfirmed or failed delivery is not a missed acceptance deadline.

Export control and sanctions. You represent that you are not located in, and are not a national or resident of, a country or territory subject to comprehensive sanctions, and that you are not a person with whom dealing is prohibited under applicable sanctions or export-control law. You will not export, re-export, or make the Services available in breach of that law.

Assignment. You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition, corporate reorganisation, or sale of substantially all relevant assets, subject to applicable law.

Publicity. Neither party may use the other’s name, logo, or trademarks in publicity without prior written consent, except that either may state the existence of the relationship where legally required.

Independent parties and third parties. The parties are independent contractors, and these Terms create no partnership, agency, joint venture, or employment relationship. They confer no rights on anyone who is not a party to them.

Severability, waiver, and interpretation. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver of it. Headings are for convenience only, and “including” means “including without limitation”.

Grievance Officer. Karan Jagtiani, reachable at contact (at) skyflo.ai or by post at the address above. Complaints about the Services, or about how we handle your personal data, may be addressed to him. We acknowledge consumer complaints within 48 hours and redress them within one calendar month. Privacy rights requests are handled within the period required by applicable law, with any permitted extension explained.

Invoices, tax documents, payment methods, and refund status are handled by Dodo Payments as merchant of record and are reachable through the billing portal in your account console.
